Terms & Conditions of Sale

1. Who we are
These terms govern the sale of aircraft by ARGO AERO UK LTD, a company registered in England and Wales under company number 16145501, registered office at 3rd Floor, 86-90 Paul Street, London EC2A 4NE ("Argo Aero", "we", "us"). Contact: [email protected], +44 20 3393 4113.
We are the official United Kingdom dealer of Manufaktura Lotnicza Sp. z o.o. of Magdalenka, Poland (the "Manufacturer"), maker of the ARGON gyroplanes and ARGO helicopters. When you buy an aircraft through us, your contract of sale is with Argo Aero.
These terms cover aircraft sales only. Promotional flights and flight training are a separate service governed by our Booking Terms.
2. Ordering
- Every aircraft is built to order, to a written specification (model, engine, avionics, propeller, interior, colour and options) agreed with you.
- The specification is prepared in the Manufacturer's configurator software. The configurator specification, signed by both parties, is attached to every order and forms an integral part of the contract - it is the definitive record of the aircraft's configuration.
- Information on this website - specifications, performance figures and guide prices - is the Manufacturer's published data, provided for information. It is an invitation to treat, not an offer. The binding description of your aircraft is the written specification in your order.
- A contract is formed when we confirm your order in writing after receipt of your deposit.
3. Price and payment
- Prices are agreed in the order and, unless stated otherwise, are quoted in GBP and exclude UK VAT, import duties and delivery, which are itemised separately in the order.
- Payment is by stages set out in the order: a deposit on order, stage payments during manufacture where agreed, and the balance before handover.
- Because each aircraft is manufactured to your personal specification, the statutory 14-day cancellation right for distance contracts does not apply (Consumer Contracts Regulations 2013, regulation 28(1)(b) - goods made to the consumer's specification). Deposits and stage payments are non-refundable except where these terms or the law say otherwise.
4. Manufacture and lead times
- Your aircraft is manufactured by the Manufacturer in Poland, with around 1,000 hours of handcrafted work per airframe.
- Lead times we quote are the Manufacturer's estimates and are given in good faith; they are not guaranteed dates. We will keep you informed of progress and of any change the Manufacturer notifies to us.
5. Delivery, customs, risk and title
- Delivery is agreed separately for each order and itemised as its own line in the order, based on the option you choose - from collection at the Manufacturer's facility (ex works) to full delivery to an agreed UK handover location arranged by us.
- Where you choose delivery arranged by us, we handle the transport logistics and the import and customs formalities into the UK.
- Transit insurance is agreed and priced separately as its own line in the order. Where insured delivery is taken, transit damage identified at the joint handover inspection is remedied under the transit policy at no cost to you. Where you decline transit insurance or arrange your own transport, the risk of transit damage rests with you from the point the aircraft leaves the Manufacturer's facility.
- In every case, at handover you (or your representative) and we jointly inspect the aircraft against the order specification and record the result in a signed handover acceptance certificate.
- Risk in the aircraft passes as set out in the delivery option chosen in the order; title passes on receipt of payment in full.
- UK VAT and any import duties are payable as itemised in the order.
6. Warranties
Warranty cover for your aircraft is provided by the companies that make it, and claims under each warranty are handled by the relevant maker - we assist you in registering and pursuing any claim:
- Airframe and aircraft systems - warranted by the Manufacturer, Manufaktura Lotnicza Sp. z o.o., on its published warranty terms.
- Engine - warranted by the engine manufacturer (BRP-Rotax GmbH & Co KG for ROTAX engines, including the published 5-year ROTAX warranty programme, or UL Power for UL Power engines) on that manufacturer's terms.
- Avionics and electronics - warranted by the avionics manufacturer (Garmin, Kanardia or other fitted brand) on that manufacturer's terms.
Nothing in this section limits our own delivery responsibility in section 5, and nothing in these terms affects your statutory rights under the Consumer Rights Act 2015 where you deal with us as a consumer.
7. Airworthiness and operation after handover
- From handover, responsibility for the operation, maintenance and continued airworthiness of the aircraft rests with the owner and operator, in accordance with applicable aviation law.
- Any maintenance reminders we send are a courtesy service to our customers. They do not transfer the owner's or operator's legal responsibilities to us, and we accept no liability for a reminder not being sent or received.
- We liaise with the UK Civil Aviation Authority on matters relating to the ARGON and ARGO types in the UK; individual aircraft registration and licensing remain the owner's responsibility, with which we are glad to assist.
8. Liability
- Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be excluded by law.
- Subject to the above, our total liability under or in connection with a sale is limited to the price paid for the aircraft, and we are not liable for loss of profit, loss of use or other indirect or consequential loss where you deal with us in the course of business.
9. Events outside our control
We are not responsible for delay or failure caused by events outside our reasonable control, including delays at the Manufacturer, component supply, weather, or actions of customs and aviation authorities. We will notify you and agree a revised plan as soon as reasonably possible.
10. Sale documents
We publish our standard sale documents openly, so you can see exactly what you will sign before you ever talk to us. Figures, options and the configurator annex are completed individually for each order:
- Aircraft Order Form (PDF) - the order contract: specification, price and payment schedule, delivery and insurance options.
- Handover Acceptance Certificate (PDF) - the joint inspection record signed at delivery.
11. Law and jurisdiction
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that consumers resident elsewhere in the UK may rely on the courts and mandatory consumer protections of their home nation.
